These Terms & Conditions apply to services provided by The Beauty Buyers, an international beauty matchmaking, brand scouting, sourcing and consultancy agency based in the Netherlands.
1. Scope
These Terms & Conditions apply to all proposals, assignments, agreements and services provided by The Beauty Buyers, unless otherwise agreed in writing.
Any specific commercial agreement, proposal or statement of work agreed between The Beauty Buyers and a client takes precedence over these Terms & Conditions in the event of a conflict.
2. Services
The Beauty Buyers may provide services including, but not limited to:
The exact scope of an assignment will be agreed separately with the client.
3. No guarantee of commercial outcome
The Beauty Buyers uses its expertise, network and market knowledge to identify and facilitate relevant opportunities.
Unless expressly agreed otherwise in writing, The Beauty Buyers does not guarantee that an introduction, matchmaking assignment, scouting project or other service will result in a distribution agreement, retail listing, purchase order, investment, partnership or other commercial transaction.
Commercial decisions remain the responsibility of the relevant parties.
4. Introductions and matchmaking
Business introductions made by The Beauty Buyers are provided for the purpose of exploring potential commercial relationships.
Clients and introduced parties remain responsible for conducting their own commercial, financial, legal, regulatory and operational due diligence before entering into any agreement.
Where a fee is connected to an introduction or resulting commercial relationship, the applicable fee structure will be specified in the relevant proposal or agreement.

The applicable fee structure, payment terms and any conditions relating to success or order-based fees will be specified separately.
Unless stated otherwise, all fees are exclusive of VAT and other applicable taxes.
6. Payment
Invoices must be paid within the payment period stated on the invoice or otherwise agreed in writing.
In the event of late payment, The Beauty Buyers reserves the right to suspend services and to charge statutory commercial interest and reasonable collection costs where permitted by law.
7. Confidentiality
The Beauty Buyers treats confidential business information received in connection with an assignment with appropriate care.
Clients are likewise expected to treat confidential information, commercial opportunities, contacts and non-public information provided by The Beauty Buyers as confidential.
Confidential information may not be disclosed to third parties except where reasonably necessary for the relevant business opportunity, where authorised by the other party or where disclosure is required by law.
8. Intellectual property
Unless otherwise agreed in writing, all intellectual property rights relating to methodologies, presentations, reports, concepts, research, materials and other original work created by The Beauty Buyers remain with The Beauty Buyers.
Clients may use deliverables provided specifically for them for their intended internal business purpose, unless otherwise agreed.
The Beauty Buyers name, branding, logo and other proprietary brand assets may not be used without prior permission.
9. Third parties
The Beauty Buyers may introduce or recommend independent third parties, including distributors, retailers, brands, agencies, logistics providers and other service providers.
Unless expressly agreed otherwise, these parties operate independently from The Beauty Buyers.
The Beauty Buyers is not responsible for the acts, omissions, performance, products, services or contractual obligations of independent third parties.
10. Regulatory responsibility
Brands and other clients remain responsible for ensuring that their products, claims, labelling, registrations, certifications and commercial activities comply with applicable laws and regulations in the relevant markets, unless The Beauty Buyers has expressly accepted a specific responsibility in writing.
11. Liability
The Beauty Buyers will perform its services with reasonable professional care.
To the maximum extent permitted by applicable law, The Beauty Buyers will not be liable for indirect, consequential or commercial losses, including loss of profit, revenue, opportunity or anticipated business.
Where liability cannot legally be excluded, the total liability of The Beauty Buyers in connection with an assignment will be limited to the amount paid to The Beauty Buyers for the relevant assignment, unless mandatory law provides otherwise.
Nothing in these Terms & Conditions excludes liability that cannot legally be excluded or limited.
12. Termination
Either party may terminate an ongoing assignment in accordance with the termination provisions agreed in the relevant proposal or agreement.
Fees relating to services already performed and expenses already incurred remain payable following termination.
Any provisions which by their nature are intended to continue after termination, including confidentiality, intellectual property and applicable payment obligations, will remain in effect.
13. Force majeure
The Beauty Buyers will not be liable for delays or failure to perform caused by circumstances reasonably beyond its control.
14. Governing law
These Terms & Conditions and agreements with The Beauty Buyers are governed by the laws of the Netherlands, unless mandatory law or a written agreement requires otherwise.
Any dispute will be submitted to the competent court in the Netherlands, unless otherwise agreed in writing or required by mandatory law.
15. Changes
The Beauty Buyers may update these Terms & Conditions from time to time. The version applicable to an assignment will be the version provided or otherwise made applicable when the relevant agreement is entered into.
